Terms and Conditions for Biofuel Express Card

1. Parties/Definition

Biofuel Express A/S (Biofuel Express): The Account Holder’s contracting party, creditor
Account Holder: The company or person that applied for and was provided with an account
Cardholder: The person to whom the Card is issued or who is the holder of the Card
Card: Biofuel Express Card (physical and virtual).

2. Sites/validity

The Biofuel Express Card is valid as payment for the purchase of products under the Card Terms and Conditions in force at any time in Denmark and Sweden at all Biofuel Express sites.

The Biofuel Express Card is also valid as payment for the purchase of fuel at Biofuel Express stations in Sweden. In that case, the fuel seller is Biofuel Express AB.

3. Application for an account

Application for an account will be processed by Biofuel Express. Prior to providing an account, a standard credit check will be carried out. If an account is provided, a Card will be issued to the Account Holder in accordance with the application submitted.

4. Use of Card

The Account Holder must ensure that the Card is used only by the Cardholder and in accordance with the applicable Biofuel Express Card Terms and Conditions.

5. Liability for charges

The Account Holder will be liable for the purchases, interest and fees charged to the account.

6. Account purchases

If the Card is used for payment at a self-service terminal, the use of the Card in combination with the personal code is considered as signing for the purchase.

7. Cards are Biofuel Express’ property

Cards are the property of Biofuel Express and must be returned to Biofuel Express immediately upon the closing of the account, the Account Holder’s/Cardholder’s death, the solvent liquidation of the Account Holder or upon request.

8. Complaints

Complaints about products or services must be submitted to Biofuel Express immediately. In that case, the relevant receipt or credit delivery note must be provided.

9. Invoicing and payment terms

9.1 Invoicing

Purchases will be invoiced on the 15th and the last day of each month.
The invoice will include all transactions entered after invoicing for the preceding period. Payment must be received by Biofuel Express no later than on the due date specified in the invoice. The general time for payment is currently 15 days from the invoice date.

Biofuel Express A/S will issue invoices for purchases made at stations in Denmark, and Biofuel Express AB will issue invoices for purchases made at stations in Sweden.

9.2 Summary invoice including attachments per subnumber

The invoice will be issued as a summary invoice including one attachment per Card (subnumber). The attachment will specify the purchase date, site, product type, volume and amount.

10. Late payment, non-payment or exceeded credit limit

In the event of late payment, Biofuel Express is entitled to charge default interest at the current interest rate applied by Biofuel Express, at present 12% annually. If the credit limit is exceeded, if the Account Holder fails to pay the invoices sent within the time stipulated, or if the Account Holder does not otherwise comply with its obligations under these Card Terms and Conditions, Biofuel Express has the right to terminate the card agreement with immediate effect and demand payment of the entire outstanding amount owed plus interest and costs. In such cases, the Card cannot be used for any further purchases. In the event of non-payment, Biofuel Express is entitled to charge reminder and late payment fees in accordance with the Danish Interest Act. If the Account Holder is not in due compliance with its obligations under these Card Terms and Conditions, or if the Account Holder misuses the credit, Biofuel Express has the right to close the account without prior notice, resulting in the entire amount owed on the account falling due for immediate payment. Biofuel Express also has the right to block the Card for further purchases in other situations where deemed reasonable. Registration in the Danish RKI register or a similar register of defaulters may be made in cases where credit is ended due to a material breach of the payment obligation or the credit limit being significantly exceeded or if credit turns out to have been granted on incorrect terms.

11. Amended terms

After notifying the Account Holder in e.g. an invoice or a letter, Biofuel Express may amend the applicable terms and conditions for the account, such as fees and interest rates. The Card Terms and Conditions in force at any time are available at https://biofuel-express.com/terms-and-conditions-for-biofuel-express-card. In case of significant amendments, 30 days’ notice will be given prior to their taking effect. By continuing to use the Card, the Account Holder will be deemed to have accepted such terms and conditions.

12. Safe-keeping of Card and code

The Card is a valuable document and must be kept as securely as e.g. money or cheques. Consequently, the Cardholder must:
(i) keep the Card secure, e.g. not leave the Card in an unattended vehicle and thus risk unauthorised use of the Card;
(ii) keep the personal code secure or destroy it completely to prevent any link between the Card and the code;
(iii) never keep notes about the code with the Card or in a wallet, bag, glove compartment, etc. Memorise the code!

13. Lost/stolen Cards, incorrect transactions or unauthorised use of Cards

The Account Holder must notify Biofuel Express immediately, by contacting the Biofuel Express Customer Centre at tel. +45 70 26 41 22, if:
(i) a Card is lost or stolen;
(ii) a replacement card has not been received;
(iii) an unauthorised person is suspected to have access to a Card or a code; or
(iv) the Card is suspected to have been used without authorisation and approval from the Account Holder or the Cardholder.

If a Card has been reported stolen or lost, Biofuel Express will block the Card and issue a replacement card. If a Card reported stolen or lost is found, it must not be used but must immediately be cut into pieces and destroyed.

The Account Holder will be liable for payment of all purchases made using the personal code and for other purchases made using the Card until the time when Biofuel Express receives notification of the loss of the Card.
The Account Holder must cooperate with Biofuel Express in investigating the unauthorised use of the Card, including, but not limited to, providing a copy of the police report, submitting a signed statement on the incident and/or any other documentation held by the Account Holder and reasonably required by Biofuel Express. Where obliged to do so, Biofuel Express may provide information on the Account Holder's and Cardholder's activities to relevant authorities.

14. Change of name, address or ownership

In the event of any change of name, address or company name and in the event of any change of ownership of the Account Holder, Biofuel Express must immediately be notified in writing. The Account Holder will be responsible for the consequences of not providing such information. In the event of failing to notify any change of ownership, the Account Holder will also be liable for payment of the debt arising as a result of the use of the Card after the change.

15. Personal data and information management

15.1 Controller

Biofuel Express will collect and process personal data in accordance with applicable law.

Biofuel Express is the controller in respect of the personal data collected in connection with Biofuel Express Cards.

15.2 Personal data processing

Biofuel Express will collect personal data about the Account Holder’s management and the Cardholder and will retain and process the data collected for the following purposes:
(i) to be able to comply with obligations under the Card Terms and Conditions, to market other products or services provided from time to time by Biofuel Express, and to be able to manage invoicing itself or through another company;
(ii) to use, process or analyse data about the Account Holder, the Account Holder’s management and the Cardholder with a view to preparing reports to help Biofuel Express assess the Account Holder’s credit standing, maintain efficient purchasing procedures and calculate tank volumes. Biofuel Express will keep such reports confidential and reserves the right to destroy copies of such reports at any time;
(iii) to use, process and analyse card data in order to develop risk management models, procedures and policies and/or to make decisions as to how to manage the Account Holder’s accounts (e.g. to approve transactions);
(iv) to exchange information about the Account Holder, the Account Holder’s management and the Cardholder with anti-fraud authorities.

15.4 Reasons for processing

Biofuel Express will process data about the Account Holder, the Account Holder's executives and the Cardholder either based on such persons’ consent to the stated purposes, in order to comply with a legal or contractual obligation, or because the processing is necessary due to a balancing of interests, where Biofuel Express’ legitimate interests are balanced against the interests of the data subject.

15.5 Access to data

The Account Holder must take all necessary measures to inform the Account Holder's management and the Cardholder prior to the processing of personal data by Biofuel Express and must ensure that the Account Holder's management and the Cardholder are aware of the right to:
(i) be informed of the personal data being processed by Biofuel Express and to obtain a copy of the data upon request;
(ii) obtain a register extract once a year free of charge;
(iii) have incorrect personal data rectified and, in some cases, erased;
(iv) object to the processing of certain personal data and to request that the processing be restricted;
(v) receive personal data in a machine-readable format on certain conditions and to have the data transmitted to another controller;
(vi) request access to personal data; and to
(vii) lodge a complaint about the processing of personal data with the Danish Data Protection Agency, which is the competent supervisory authority.

The Account Holder must inform the Account Holder's management and the Cardholder of Biofuel Express' contact information in order to be able to note the personal data being processed and request a copy of the data.

15.6 Security

Biofuel Express will take appropriate technical and organisational security measures to protect personal data against loss or unauthorised access. Biofuel Express will regularly review company policies and procedures to ensure that the systems are safe and secure.

15.7 How long personal data are retained

Biofuel Express will retain the personal data for as long as it is necessary for the purpose of the processing and for Biofuel Express to be able to comply with its statutory or contractual obligations.

16. Force majeure and limitation of liability

Biofuel Express is not liable for any damage as a result of war, mobilisation or military conscription to an equivalent extent, terrorism, sabotage, general or local labour dispute, machine damage or any other unforeseen obstacle to production, fire, flood, natural disaster, requisition, seizure, government decision, trade, payment or currency restriction, riot, epidemic, pandemic, national lockdown, due in whole or in part to any health crisis, lack of means of transport, general shortage of goods, restriction on the supply of electricity, power or data and telecommunications or any other similar event or any other circumstance beyond the control of Biofuel Express. Any damage occurring in any other case will be compensated by Biofuel Express only to the extent that such damage is caused by negligence on the part of Biofuel Express. Biofuel Express is not liable for any indirect damage or loss.

17. Assignment and transfer

Biofuel Express reserves the right freely to assign its rights and transfer its obligations under these Card Terms and Conditions.

Account Holders are not entitled to assign their rights or transfer their obligations under these Card Terms and Conditions, whether in whole or in part, to any third party.

18. Validity period

The card agreement will expire one month after the Account Holder or Biofuel Express has given written notice of termination of the agreement. If incorrect information about the Account Holder was provided, or the facts of the credit standing subsequently change, or the Account Holder fails to comply with its obligations under these Card Terms and Conditions, Biofuel Express may terminate the card agreement with immediate effect or lower the credit limit. In this connection, Biofuel Express has the right to block all the Account Holder’s Cards issued by Biofuel Express. In the event of termination, the Card Terms and Condition will apply correspondingly as long as any amount is owed on the account.

19. Applicable law and jurisdiction

The Card Terms and Conditions are governed by Danish law.

Any dispute between the parties arising out of or in connection with these Card Terms and Conditions must be submitted to and be subject to the jurisdiction of a Danish court of law.
